Commercial Contracts Manager

Fullstory is seeking a Commercial Contracts Manager to join our growing legal team.  This role will be remote.  Your primary responsibilities will be to handle a wide variety of commercial transactions, including a large volume of inbound and outbound contracts, and to work with various Fullstory business teams to manage the contracting process, from review to negotiation to execution.  You will also help improve our legal processes and systems and increase efficiency in the way we work.  You will work with many business stakeholders across the company, including our sales, partnerships, marketing, engineering, finance, information security, operations, and procurement teams.  This role calls for a strong business partner who is an independent thinker with strong communication, negotiation, and analytical skills, the ability to resolve complex issues in an effective and solution-oriented manner, and the ability to manage multiple projects and transactions at the same time.  The ideal candidate will be tech-savvy and have experience with contract management, including drafting and negotiating a variety of contracts.

In a typical day, you might:

  • Lead the negotiation and drafting of a variety of commercial agreements, including master services agreements, data processing agreements, order forms, non-disclosure agreements, and vendor contracts, with support from supervising attorneys

  • Understand and analyze contractual risks, and guide other Fullstorians on ways to mitigate those risks

  • Partner closely with teams across the company, including senior management, to address their specific needs (e.g., the sales team on customer deals, the procurement team on vendor contracts, and our various ops teams on process and system improvements)

  • Identify opportunities to improve and scale current processes and agreement templates, and work with business stakeholders to reduce friction in our processes and increase the quality of contract reviews and negotiations

  • Manage competing priorities and expectations in a highly dynamic work environment; grow personally and professionally through continuous learning and development of skills

  • Handle other special projects as assigned and build relationships across the organization

Here's what we're looking for:

  • Excellent communication skills with the ability to explain company positions and policies courteously, succinctly, and persuasively to both counterparties and internal stakeholders

  • Strong written, verbal, and interpersonal skills, including the ability to communicate effectively with all levels of management and to distill complex legal concepts into simple, actionable recommendations

  • Experience negotiating terms and conditions, technology agreements, data processing agreements, or other contracts, ideally with a cloud or software company; broad knowledge of contract structure and ability to identify specific contractual provisions.

  • Experience with software as a service systems, such as contract lifecycle management (e.g., Ironclad, Spotdraft) and customer relationship management systems (e.g., Salesforce)

  • Strong organizational skills and attention to detail; ability to meet deadlines and priorities, multitask, and cope well with changes in a fast-paced environment
